  DALLAS, Oct. 9 /PRNewswire-FirstCall/ -- TXU Corp. (NYSE: TXU - News) announced today the determination of the total consideration and tender offer consideration to be paid pursuant to its cash tender offers and related consent solicitations for the 4.80% Series O Senior Notes due 2009 of TXU Corp. and the 6.125% Senior Notes due 2008 and 7.000% Senior Notes due 2013 (collectively, the "Notes") of Texas Competitive Electric Holdings Company LLC ("TCEH").

The total consideration payable for Notes accepted for payment that were validly tendered with consents and not validly withdrawn at or prior to 5:00 p.m., New York City time, on October 5, 2007 (the "Consent Payment Deadline"), will be an amount equal to the total consideration specified in the table below for each $1,000 principal amount of Notes. The tender offer consideration payable for Notes accepted for payment that are validly tendered after the Consent Payment Deadline but at or prior to midnight, New York City time, on October 23, 2007 (unless extended or earlier terminated by TXU Corp., the "Offer Expiration Date"), will be an amount equal to the total consideration minus the $30.00 consent payment. In each case, holders whose Notes are accepted for payment in the tender offers will receive accrued and unpaid interest for such Notes from the last interest payment date to, but not including, the applicable payment date for Notes purchased in the tender offers.

Table 1 provides information relating to the determination of the applicable total consideration, consent payment and tender offer consideration per $1,000 principal amount of Notes.

The tender offers and consent solicitations relating to the Notes are made upon the terms and conditions set forth in the Offer to Purchase and Consent Solicitation Statement dated September 25, 2007 (the "Offer to Purchase"), and the related Consent and Letter of Transmittal. The tender offers and consent solicitations are subject to the satisfaction of certain conditions, including the proposed merger of TXU Corp. with Texas Energy Future Merger Sub Corp, a wholly-owned subsidiary of Texas Energy Future Holdings Limited Partnership having occurred or such merger occurring substantially concurrent with the initial payment date for the tender offers.
